11. Limitation of Liability

IMPORTANT: Please read this section carefully as it limits our liability to you.

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TASKWISE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your transmissions or data
  • Damages resulting from the conduct of any third party on the Service
  • Damages resulting from any failure, delay, or interruption of the Service
  • Any other damages arising from your use of or inability to use the Service

11.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED BRITISH POUNDS (£100 GBP).

11.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

12. Indemnification

You agree to defend, indemnify, and hold harmless Taskwise and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any third-party rights
  • Any claim that your User Content caused damage to a third party

13. Term and Termination

13.1 Term

These Terms shall remain in full force and effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

13.3 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of applicable laws or regulations
  • Conduct that we determine is harmful to other users, us, or third parties
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

13.4 Effect of Termination

Upon termination:

  • All licences and rights granted to you will terminate
  • You must cease all use of the Service
  • We may delete your account data after a reasonable retention period
  • Sections of these Terms that by their nature should survive will survive

13.5 Data Export

Before termination, you may request an export of your data through the Service or by contacting us. We will provide your data in a commonly used electronic format within 30 days of such request.

14. Data Retention After Cancellation

14.1 Retention Period

When a paid subscription is cancelled, we will retain your account data for a period of nine (9) months from the date the subscription ends. During this retention period, your data remains stored securely on our servers but is not accessible through the Service unless you reactivate your subscription.

14.2 Reactivation

If you reactivate your subscription at any time during the nine-month retention period, your previously stored data will be fully restored and made available to you through the Service. The data retention countdown will be cancelled upon reactivation.

14.3 Permanent Deletion

If your subscription is not reactivated within nine (9) months of cancellation, all account data — including tasks, timelines, settings, file attachments, and any other content associated with your account — will be permanently and irreversibly deleted. This includes data belonging to all members of a business organisation where the organisation owner's subscription has been cancelled.

14.4 Payment Failure

If a subscription is blocked or terminated due to non-payment or repeated failed payment attempts, the same nine-month data retention period applies from the date the subscription is terminated. Failure to resolve payment issues and reactivate the subscription within this period will result in permanent deletion of your data.

14.5 Deletion Notifications

We will make reasonable efforts to notify the account holder by email before permanent data deletion occurs. Notification emails will be sent at approximately:

  • One month (30 days) before the scheduled deletion date
  • One week (7 days) before the scheduled deletion date
  • One day (24 hours) before the scheduled deletion date

It is your responsibility to ensure that the email address associated with your account is current and capable of receiving these notifications. Failure to receive notifications due to an outdated or incorrect email address does not extend the retention period.

14.6 Early Deletion Request

You may request early deletion of your data at any time by contacting us at support@taskwise.co.uk. We will process such requests within 30 days, subject to any legal obligations that may require us to retain certain information.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@taskwise.co.uk. We will attempt to resolve the dispute within 30 days.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

15.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for the resolution of any disputes arising out of or relating to these Terms or the Service.

15.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, the entirety of this dispute resolution section shall be null and void.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by:

  • Posting the updated Terms on our website
  • Updating the "Last updated" date
  • Sending an email notification to registered users
  • Displaying a notice within the Service

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Service Level and Support

17.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

17.2 Support

Support availability depends on your subscription tier. Premium support is available for paid plans. Free tier users have access to community support and documentation.

18. Export Controls

You agree to comply with all applicable export and re-export control laws and regulations. You shall not use the Service for any purposes prohibited by applicable law, including the development or production of weapons of mass destruction.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

20. Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their successors and assigns.

22. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Taskwise regarding the Service and supersede all prior agreements, representations, and understandings.

23. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, epidemics, government actions, or communications or power failures.
